Runway Hours Agreement

This Runway Hours Agreement ("Agreement") outlines the terms under which The Revital Group ("TRG") provides prepaid operational support to the Client.

By signing this Agreement and submitting payment, the Client agrees to the terms outlined below.

1. Overview

Runway Hours are prepaid hours that may be used for strategic guidance, operational support, implementation assistance, process improvement, documentation, troubleshooting, working sessions, and other mutually agreed-upon services.

Hours are purchased in advance and are available for use for twelve (12) months from the date of purchase.

2. Included Services

Runway Hours may be used for services such as:

• Operational strategy and planning

• Process reviews and recommendations

• Workflow design and optimization

• Documentation and SOP development

• Technology and systems guidance

• Meeting facilitation and working sessions

• Research and operational problem-solving

• Follow-up work related to a Friction Finder engagement

• Other operational support as mutually agreed upon

3. Out of Scope

Runway Hours do not include:

• Services outside The Revital Group's areas of expertise

• Ongoing managed services or dedicated staffing

• Emergency or after-hours support

• Software licensing or third-party subscription costs

• Work requiring specialized legal, accounting, tax, HR, engineering, or other licensed professional services

• Any work not mutually agreed upon

If a request falls outside the scope of Runway Hours, TRG will discuss alternative options before work begins.

4. Scheduling & Requests

Clients may submit requests as needed throughout the term of this Agreement.

TRG will review each request, confirm the expected scope of work, and communicate an estimated timeline based on current availability and priorities.

Response times may vary depending on workload and project complexity.

5. Hour Usage

Time is deducted for work performed on behalf of the Client, including but not limited to:

• Meetings and working sessions

• Research and analysis

• Planning and strategy

• Documentation

• Process design

• Implementation support

• Communication directly related to the requested work

Hours are tracked in fifteen (15) minute increments.

6. Expiration

Purchased Runway Hours remain available for twelve (12) months from the purchase date.

Unused hours expire after twelve months and are not refundable.

7. When Hours Are Exhausted

TRG will make reasonable efforts to notify the Client as their remaining balance becomes low.

Once all purchased hours have been used, work will pause until additional Runway Hours are purchased.

Clients may purchase additional Runway Hours at any time.

Unused hours from a refill are added to any remaining active balance, provided the original hours have not expired.

8. Payment

Payment is due at the time this Agreement is executed.

Work will begin after both:

• This Agreement has been signed; and

• Payment has been successfully received.

9. Cancellation & Refunds

Because Runway Hours reserve TRG's future availability and capacity, purchased hours are non-refundable once payment has been processed.

10. Confidentiality

TRG agrees to maintain the confidentiality of information shared by the Client in the course of providing services and will not disclose confidential information except as required by law or with the Client's permission.

11. Independent Contractor

The Revital Group is an independent contractor and nothing in this Agreement creates an employer-employee, agency, partnership, or joint venture relationship.

12. Limitation of Services

TRG provides operational strategy and implementation support based on the information provided by the Client.

The Client remains responsible for all final business decisions and implementation outcomes.
